Regulation (EU) 2017\/1129 of the European Parliament and of the Council of 14 June 2017 on the prospectus to be published when securities are offered to the public or admitted to trading on a regulated market, and repealing Directive 2003\/71\/EC, was published in the Official Journal of the European Union on 30 June 2017.<\/p>

Delegated acts in relation to the Prospectus Regulation:<\/h1>

Commission Delegated Regulation (EU) 2021\/528 of 16 December 2020 supplementing Regulation (EU) 2017\/1129 of the European Parliament and of the Council as regards the minimum information content of the document to be published for a prospectus exemption in connection with a takeover by means of an exchange offer, a merger or a division.<\/p>

Commission Delegated Regulation (EU) 2019\/979 of 14 March 2019 supplementing Regulation (EU) 2017\/1129 of the European Parliament and of the Council with regard to regulatory technical standards on key financial information in the summary of a prospectus, the publication and classification of prospectuses, advertisements for securities, supplements to a prospectus, and the notification portal, and repealing Commission Delegated Regulation (EU) No 382\/2014 and Commission Delegated Regulation (EU) 2016\/301.<\/p>

Commission Delegated Regulation (EU) 2019\/980 of 14 March 2019 supplementing Regulation (EU) 2017\/1129 of the European Parliament and of the Council as regards the format, content, scrutiny and approval of the prospectus to be published when securities are offered to the public or admitted to trading on a regulated market, and repealing Commission Regulation (EC) No 809\/2004<\/p>

Listing Act<\/strong><\/h2>

The Listing Act was published in the Official Journal of the European Union on 14.11.2024. The link to the legal act may be found below:<\/p>

Most provisions about the amendment of the Prospectus Regulation, Regulation (EU) 2017\/1129 only apply from 5 March and 5 June 2026.<\/p>

A few provisions, such as those about the new and extended exceptions from the obligation to publish prospectuses already apply from 04 December 2024. For certain exceptions, a document “replacing a prospectus” containing the information listed in Annex IX of the Listing Act will be required to be submitted to the FMA at the same time as publication in electronic form. Until further notice this submission is to be made by e-mail to prospektaufsicht@fma.gv.at<\/a>, with the subject line: “Prospektersetzendes Dokument”.<\/p>

For clarifications by ESMA regarding the transitional provisions in the Listing Act as well as the applicability of the new simplified prospectus formats under Articles 14a and 15a of the Prospectus Regulation with effect from 05.03.2026<\/strong>, see the ESMA Public Statement of 18.02.2026<\/a>. The Council and the Parliament still have a three-month objection period regarding the proposal for amending Delegated Regulation (EU) 2019\/980 that was accepted by the European Commission on 04.03.2026, before it may be published in the Official Journal, with the proposed amendment available here: C(2026)1372<\/a><\/p>

Please see the ESMA Public Statement dated 07.05.2026<\/a> regarding the applicability of the provisions regarding the standardised format and sequence as the streamlined content, scrutiny and approval of the Prospectus from 05.06.2026<\/strong>.
