Notifications to the Oesterreichische Kontrollbank (OeKB) in its capacity as the Notification Office in accordance with Article 23 KMG 2019<\/strong><\/h2>

Information about the following individual notification channels that are described in brief require a registration for and logging into the OeKB’s Customer Portal<\/a>.<\/p>

New-Issue Calendar pursuant to Article 24 KMG 2019<\/strong><\/h2>

Parties intending to offer securities or investments for the first time, must inform the notification office at the earliest opportunity about the issuer, the planned data of the issue, the total volume, the denomination, the term, and in the case of public offerings, any other conditions, as well as where applicable any other circumstances pursuant to Article 1 of Regulation (EU) 2017\/1129 or Article 3 KMG 2019 that might justify an exemption from the obligation to produce a prospectus.<\/p>

Article 24 KMG 2019 also requires that the final issue price and\/or the final issue volume pursuant to Article 17 of the Prospectus Regulation is to be notified to the New-Issue Calendar.<\/p>

This obligation to notify the New-Issue Calendar also applies for foreign issuers. The correct notification to the New-Issue Calendar is a pre-requisite for notification such prospectuses to other European Union member states due to the conferring of duties listed below for collecting meta data from prospectuses approved by the FMA to the notification office.<\/p>

Following the submission of the accompanying final terms that belong to an approved base prospectus, to the New-Issue Calendar, they are also deemed to have been filed with the FMA.<\/p>

Issuers who are making an offering in Austria are only required to notify the final terms of the base prospectus approved by the FMA under the Prospectus Regulation, Regulation (EU) 2017\/1129, to the OeKB notification office’s New-Issue Calendar. By doing so, the final terms are also deemed as having been filed with the FMA.<\/p>

For notifications based on securities prospectuses that have been approved by the FMA, the OeKB notification office’s notification templates also request the relevant accompanying information for the classification of prospectus relating to issuances under Delegated Regulation (EU) 2019\/979.<\/p>

Delegation of tasks by the FMA to the Notification Office<\/strong><\/h2>

Both Regulation (EU) 2017\/1129 (“Prospectus Regulation”) as well as Regulation (EU) 2023\/2859 (“ESAP Regulation”) authorise the competent authority to outsource certain tasks to other legal entities. In the national transposition in Article 13 para. 3 KMG 2019, the FMA is granted the right to delegated certain tasks under prospectus law to the notification office pursuant to Article 23 KMG 2019, while under Article 13 para. 3a KMG 2019, the notification office may also within the scope of its activities pursuant to Article 23 para. 1 also take over the duties of a collection body under the ESAP Regulation over and beyond those listed in para. 3, provided and to the extent that they are conferred to it.<\/p>

The FMA has made use of the possibility to confer such tasks in its remit as the competent authority under the Prospectus Regulation and the collection body under the ESAP Regulation. By doing so, information that has already been collected by the Oesterreichische Kontrollbank as the notification office in accordance with Article 23 KMG 2019, should be used efficiently, and by only collecting additional data selectively should avoid multiple notifications. As part of the delegations, in addition to both the existing notification channelss regarding the New-Issue Calendar, two new notification channels (3 and 4) have been created for gathering meta data and for lodging documents in the online notification office. In addition, pursuant to Article 5 (8) of the ESAP Regulation the FMA also ensures that existing notification procedures and notification infrastructure continue to be used.<\/p>

The FMA remains responsible in both cases for all of the tasks that it confers.<\/p>
