According to notifications made to the New-Issue Calendar pursuant to Article 24 of the Capital Market 2019 (KMG 2019; Kapitalmarktgesetz 2019) the issuer Immobilienrendite Investitions- und Entwicklungs-AG is publicly offering two bonds until 23.12.2020 under the names “profitbox 2020b” and “profitbox Limited Edition 2020/12” as well as a bond under the name of “primebox Limited Edition 2020/12”. A prospectus has not been published, since the bonds are being offered in accordance with the exemption from the obligation to publish a prospectus pursuant to point b of Article 1 (4) of Regulation (EU) 2017/1129 (offering to less than 150 persons).
To guarantee investor protection, the FMA hereby announces, in accordance with the power entrusted on it pursuant to Article 14 para. 1 no. 12 Kapitalmarktgesetz 2019, that Immobilienrendite Investitions- und Entwicklungs-AG has failed to submit complete annual financial statements to the Commercial Register (Firmenbuch) since prior to the statement with the reporting date of 31.12.2014 (e.g. Lack of audit opinion by the external auditor).
