Universal registration document

The format of the universal registration document was created for issuers who frequently use the capital markets, to permit them to obtain the status of a frequent issuer, thereby shortening the timeframe for prospectus approval by a half.

It constitutes a special type of issuer note for types of securities and is determined for issuers whose securities are admitted to trading on a regulated market or a multilateral trading facility.

Once approved, the universal registration document may be incorporated as a reference into a single-part or multi-part prospectus or may be approved together with a multi-part prospectus as part of that multi-part prospectus.

It should be updated were applicable by means of “amendments”. Where the universal registration document has already been approved as a component of a multi-part prospectus, then a supplement to the universal registration document is to be included, which must state all prospectuses that the universal registration document is a component of.

Issuers, who have “frequent issuer” status pursuant to Article 9 (3) of Regulation (EU) 2017/1129 may also submit the universal registration document for filing without prior approval.
