ADRIATIC SLOVENICA Zavarovalna družba d.d with its registered office at Ljubljanska cesta 3A, 6000 Koper, Slovenia, intends to transfer its entire non-life and life insurance portfolio by way of a merger by way of universal succession to GENERALI zavarovalnica d.d. Ljubljana with its registered office at Kržičeva ulica 3, 1000 Ljubljana, Slovenia.
According to information received from the Slovenian supervisory authority contracts with insurance policyholders in Austria are also affected.
Pursuant to Article 31 para. 4 of the Insurance Supervision Act 2016 (VAG 2016; Versicherungsaufsichtsgesetz 2016), in this case (a merger) insurance policyholders do not have a termination right.
